Order and procedures for registration of change of charter capital of the enterprise

One of the most important and mandatory conditions for establishing a business is charter capital. The amount of charter capital of the enterprise may be changed during the operation of the enterprise. How is the change of the enterprise’s charter capital regulated?

In case a limited liability company, joint-stock company or partnership registers to change its charter capital, the company shall send a dossier of registration for change of enterprise registration contents to the Business Registration Office where the company’s head office is located.

The dossier includes the following documents:

• Notice of change of enterprise registration contents signed by the legal representative of the enterprise;
• Resolutions and decisions of the company owner for a one-member limited liability company; resolutions, decisions and meeting minutes of the Members’ Council for limited liability companies with two or more members, partnerships, of the General Meeting of Shareholders for joint-stock companies on the change of charter capital;
• Documents of the Investment Registration Agency approving the capital contribution, share purchase, purchase of contributed capital by foreign investors or foreign-invested economic organizations in case of having to carry out procedures for registration of capital contribution, share purchase or purchase of contributed capital in accordance with the Law on Investment.

Order and procedures for registration of change of enterprise’s charter capital

• Apply

The enterprise submits the application to the Business Registration Office where the company’s head office is located.

• Application reception

After receiving the enterprise registration dossier, the Business Registration Office issues a receipt, checks the validity of the dossier and issues an enterprise registration certificate to the enterprise. 

• Processing time 

03 working days from the full receipt of valid dossiers.
